By using phenomsourcing.com or engaging Phenom Sourcing's services, you agree to these Terms of Service. If you are using our services on behalf of a company, you confirm you have authority to bind that company.
Phenom Sourcing is a China sourcing and procurement partner operated by Xiamen Phenomenon Electronics Co., Ltd. We are not a retailer and not a manufacturer. We help you identify, evaluate, and manage factories; negotiate and coordinate production; and support quality control and logistics. The transaction and supply relationship is ultimately between you and the supplier we engage on your behalf.
We vet and qualify suppliers using reasonable diligence (factory audits, sample review, and inspections), but we do not guarantee any supplier's continued performance, capacity, or output. You remain responsible for your own due diligence, including sampling and pre-shipment inspection, before large commitments.
Quotes, lead times, and specifications we share are indicative and subject to confirmation by the supplying factory. They are not binding offers. Final commercial terms are set in your agreement with the supplier.
Our engagement, scope, and fees are defined in a separate service agreement or plan (for example, our published Service Plans). Unless otherwise agreed in writing, our role is that of an agent coordinating sourcing activities, and our compensation is set out in that agreement.
You are responsible for ensuring that any product you ask us to source or develop does not infringe third-party intellectual property rights. We are not liable for IP infringement arising from products you specify or supply. We respect third-party IP and will not knowingly reproduce protected designs without authorization.
To the maximum extent permitted by law, Phenom Sourcing is not liable for indirect, incidental, or consequential damages. Our aggregate liability related to a project is limited to the fees you paid us for that specific service. We are not a party to, and are not liable for, the supplier's performance under your supply contract.
You agree to indemnify Phenom Sourcing against claims arising from your specifications, the products sourced, your compliance obligations (including product safety, labeling, and import rules in your market), and your breach of these terms.
These terms are governed by the laws of the People's Republic of China. Disputes will be resolved through good-faith discussion, and where necessary, by the competent courts in Xiamen, China.
We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, epidemics, customs or logistics disruptions, and government actions.
We may update these terms from time to time. Continued use of our services after changes constitutes acceptance of the updated terms. The "Last updated" date reflects the current version.
